Terms of Service for SoraToo

These Terms of Service ("Terms") govern your use of SoraToo, including the website soratoo.com, any subdomains, mobile experiences, and services that reference these Terms (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Our Service

SoraToo provides a collaborative Sora 2 text-to-video studio. Core features include:

We continuously iterate on the Service. We may add, change, or remove features without prior notice, but we will not materially reduce the functionality of your paid plan without providing an opportunity to cancel.

2. Eligibility and Accounts

  1. Minimum Age: You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.
  2. Account Creation: When you create an account you must provide accurate, complete information. You are responsible for keeping this information up to date.
  3. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@soratoo.com if you suspect unauthorized use.
  4. Team & Collaboration Features: If you invite collaborators or grant access to project links, you authorize us to share relevant project data with those individuals until you revoke access.

You agree to use the Service in accordance with all applicable laws. You may not:

4. User Content and Generated Output

  1. Your Inputs: You retain ownership of prompts, text, media files, and other materials you submit ("User Content"). You grant SoraToo a worldwide, royalty-free license to host, process, display, and use User Content solely to provide, maintain, and secure the Service.
  2. Generated Output: Subject to your compliance with these Terms and applicable law, you own the Sora 2 videos and other assets generated for you ("Output"). You are responsible for how you use Output, including obtaining any necessary rights from third parties, model providers, or collaborators before distributing or commercializing the work. Some model presets or voices may include additional usage restrictions which we will disclose in the product or documentation.
  3. Feedback: If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

5. Intellectual Property Rights

SoraToo and its licensors retain all rights, title, and interest in and to the Service, including underlying Sora 2 integrations, templates, design assets, documentation, and branding. These Terms do not grant you any ownership interest in the technology.

You may not use our trademarks, logos, or branding without prior written consent, except to credit SoraToo where required by distribution rules.

6. Pricing, Trials, and Payments

  1. Plans: We offer free tiers, usage-based subscriptions, and premium plans as described on soratoo.com/pricing. Plan features, limits, and pricing may change, but we will provide reasonable notice before modifications take effect for existing subscribers.
  2. Billing: Paid plans require a valid payment method. By subscribing you authorize us (or our payment processors) to charge recurring fees. Charges are generally non-refundable unless required by law or explicitly stated otherwise in the plan details.
  3. Taxes: You are responsible for all applicable taxes, duties, or government assessments associated with your purchase, excluding our income taxes.
  4. Downgrades & Cancellations: You may cancel at any time through account settings. Access to premium features will continue until the end of the current billing cycle.

7. Third-Party Services

The Service integrates with third-party platforms (e.g., payment processors, storage providers, render infrastructure, analytics partners). Your use of those services may be subject to additional terms and policies. We are not responsible for third-party content or actions, but we encourage you to review their privacy and security practices.

8. Privacy

Our data practices—including what we collect, how we process it, and your privacy rights—are detailed in our Privacy Policy. By using the Service you consent to our handling of information as described there.

9. Term and Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, misuse the platform, fail to pay fees, or pose a risk to other users or to SoraToo. Upon termination, sections that by their nature should survive (e.g., ownership, disclaimers, limitations of liability, indemnification, governing law) will remain in effect.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SoraToo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, error-free operation, or that generated content will meet your expectations.

11. Limitation of Liability

To the maximum extent permitted by law, SoraToo, its affiliates, directors, employees, licensors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages—including lost profits, data loss, or business interruption—arising out of or in connection with your use of the Service. Our total cumulative liability for any claim will not exceed the greater of (i) the amounts you paid to us in the twelve months preceding the claim or (ii) fifty (50) USD.

Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages. Where those laws apply, parts of the above limitations may not apply to you, but only to the extent required by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoraToo, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your User Content or Output; or (d) violation of any rights of another person or entity.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which SoraToo operates, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration or, where arbitration is not permitted, to the courts located in that jurisdiction. You waive any objection to venue or personal jurisdiction in those forums.

14. Changes to These Terms

We may update these Terms from time to time to reflect product changes or legal requirements. The revised Terms will become effective when posted at soratoo.com/terms-of-service. By continuing to use the Service after the effective date you agree to the updated Terms.
